EQUITY WEALTH ACADEMY
TERMS AND CONDITIONS AGREEMENT
Effective Date: March 1, 2026
These Terms and Conditions ("Agreement") govern your access to and purchase of any products, services, memberships, certifications, downloads, events, programs, or materials offered through the Equity Wealth Academy (“EWA”), operated by Equity Wealth Strategies, LLC, a California limited liability company (“Company,” “we,” “us,” or “our”).
By purchasing, accessing, or using any EWA product or service, you agree to be legally bound by these Terms.
If you do not agree, do not purchase or access our materials.
- INTELLECTUAL PROPERTY OWNERSHIP
All materials provided through EWA are the exclusive intellectual property of Equity Wealth Strategies, LLC, including but not limited to:
- Courses
- Slide decks
- Advisor presentation decks
- Workbooks
- Templates
- Scripts
- Calculators
- Marketing materials
- Videos and audio recordings
- Certification materials
- Community content
- Logos, branding, taglines, proprietary frameworks, and methodologies
All content is protected by United States and international copyright, trademark, and intellectual property laws.
You are granted a limited, non-exclusive, non-transferable, revocable license for permitted use as described in this Agreement.
No ownership rights are transferred.
- PERMITTED USE; RESTRICTIONS; LIMITED PRESENTATION LICENSE
2.1 General Restrictions
Except as expressly permitted in this Agreement, you may NOT:
- Share login credentials
- Provide account access to third parties
- Upload materials to shared drives
- Distribute downloads
- Post materials publicly
- Repackage or resell content
- Remove copyright notices
- Use materials to create competing products
- Upload EWA materials into AI systems, machine learning tools, language models, automated content generation platforms, or similar technologies
- Reverse engineer, modify, or create derivative works
Unauthorized distribution constitutes copyright infringement.
2.2 Affiliate Resale Exception
Resale or promotion of EWA products or services is permitted only pursuant to a separate written Affiliate Agreement executed with Company.
Affiliates must comply with both the Affiliate Agreement and this Agreement.
Nothing in these Terms authorizes resale absent a signed Affiliate Agreement.
2.3 Limited License for Advisor Presentation Decks
Certain products, including advisor presentation decks, are expressly licensed for live presentation use by the purchaser in connection with their own mortgage lending practice.
Under this limited license:
- You may present the deck live to financial advisors or professional audiences
- You may customize the deck to include your name, licensing information, and company branding as required by your employer
- You may record your own live presentation for internal business purposes
However:
- You may not sell or distribute the deck itself
- You may not sell access to the recording as a standalone product
- You may not provide raw slide files to third parties
- You may not create derivative training programs for resale
Company retains all intellectual property rights in the underlying materials.
2.4 Certification Marketing Rights
Upon successful completion of a certified course, you may:
- Display your certificate
- Share certification credentials on social media
- Include certification designation in email signatures
- Reference certification in marketing materials
Certification does not grant:
- Teaching rights
- Licensing rights
- Content ownership
- Authority to represent Company
Certification may be revoked for misuse or violation of these Terms.
- LIQUIDATED DAMAGES FOR UNAUTHORIZED DISTRIBUTION
You acknowledge that unauthorized distribution of digital materials would cause substantial harm to Company that would be difficult to calculate.
Accordingly, in the event of unauthorized distribution, resale, credential sharing, or uploading materials to AI platforms, you agree to liquidated damages of Ten Thousand Dollars ($10,000) per violation, or actual damages, whichever is greater.
This provision does not limit Company’s right to pursue injunctive or equitable relief.
- AUDIT RIGHTS
If Company reasonably believes materials have been shared or used beyond the scope of this license, Company reserves the right to request written certification of compliance.
In enterprise or team usage situations, Company may request reasonable documentation confirming compliance with license scope.
Failure to cooperate may result in suspension or termination of access.
- DIGITAL DOWNLOADS
Digital downloads are licensed to a single purchaser only and are non-transferable.
All digital downloads are non-refundable.
Enterprise or team use requires separate written authorization.
- MEMBERSHIP TERMS
EWA offers monthly and annual recurring memberships.
By enrolling, you authorize automatic recurring billing.
You agree to maintain current payment information.
Refund Policy:
- Memberships are refundable within fourteen (14) days of initial purchase only
- No refunds after 14 days
- Renewals are non-refundable once processed
Failure of payment may result in suspension or termination.
- COURSE PURCHASES
Courses are eligible for refund within seven (7) days of purchase provided that no more than twenty-five percent (25%) of the material has been accessed.
Digital downloads are non-refundable under all circumstances.
- CERTIFICATION TERMS
Certification:
- Does not grant resale or teaching rights
- Does not create partnership, employment, or agency relationship
- May be revoked for ethical violations or misuse
Company reserves the right to modify certification requirements in the future.
- COMPLIANCE AND REGULATORY RESPONSIBILITY
You acknowledge that EWA materials are intended for use by mortgage loan officers operating within a regulated industry.
You agree that it is solely your responsibility to:
- Obtain approval from your employer, lender, broker, branch manager, compliance department, or marketing department prior to using EWA material
- Submit presentations, scripts, marketing language, calculators, or case illustrations for required compliance or supervisory review
- Ensure compliance with applicable federal and state mortgage laws and regulations
- Include required disclosures, licensing identifiers, and advertising language
Company does not review, pre-approve, supervise, or monitor your use of materials for regulatory compliance.
Company does not represent or warrant that any materials comply with:
- NMLS requirements
- CFPB regulations
- HUD requirements
- FHA guidelines
- State mortgage lending laws
- State advertising rules
- Lender-specific overlays
- Company-specific compliance standards
You are solely responsible for regulatory compliance in your jurisdiction.
Company shall not be liable for regulatory investigations, fines, sanctions, license suspension, or client complaints arising from your use of materials.
Participation in EWA does not create a supervisory or compliance relationship.
- NO PROFESSIONAL ADVICE OR GUARANTEES
All materials are educational in nature.
Company does not provide:
- Financial advice
- Investment advice
- Tax advice
- Legal advice
- Loan origination compliance advice
No guarantees are made regarding:
- Earnings
- Loan production
- Revenue
- Business growth
Your results depend on your effort, compliance practices, market conditions, and professional execution.
- DISCLAIMER OF WARRANTIES
Materials are provided “as is” and “as available.”
All implied warranties are disclaimed to the fullest extent permitted by law.
- LIMITATION OF LIABILITY
Maximum liability shall not exceed the total amount paid by you in the twelve (12) months preceding the claim.
Company shall not be liable for indirect, incidental, or consequential damages.
- INDEMNIFICATION
You agree to indemnify and hold Company harmless from claims arising from:
- Your professional implementation
- Client disputes
- Regulatory actions
- Violation of this Agreement
- CLASS ACTION WAIVER
All disputes must be brought on an individual basis.
You waive participation in class, consolidated, or representative actions.
- DISPUTE RESOLUTION
Parties agree to:
- Attempt good faith mediation for thirty (30) days
- If unresolved, submit to binding arbitration in California
You consent to jurisdiction in California.
- GOVERNING LAW
This Agreement shall be governed by the laws of the State of California.
- TERMINATION
Company may terminate access without refund for:
- Unauthorized sharing
- Payment default
- Ethical violations
- Breach of this Agreement
- MODIFICATIONS
Company may update these Terms at any time.
Continued use constitutes acceptance of updated Terms.
- SEVERABILITY
If any provision is deemed invalid, remaining provisions remain enforceable.
- ENTIRE AGREEMENT
This Agreement constitutes the entire agreement between you and Equity Wealth Strategies, LLC regarding EWA products and services.
Acceptance
By completing a purchase or accessing EWA materials, you acknowledge that you have read, understood, and agreed to these Terms and Conditions.
